Do Not Sell My Personal Information

We do not sell personal information. However, the Service Providers we partner with (for example, our advertising partners) may use technology on the Service that "sells" personal information as defined by the CCPA law.

Children's Privacy

Our Service does not address anyone under the age of 13. We do not knowingly collect personally identifiable information from anyone under the age of 13. If You are a parent or guardian and You are aware that Your child has provided Us with Personal Data, please contact Us.

We may update our Privacy Policy from time to time. We will notify You of any changes by posting the new Privacy Policy on this page.

We will let You know via email and/or a prominent notice on Our Service, prior to the change becoming effective and update the "Last updated" date at the top of this Privacy Policy.

SMS Consent and Communications

By providing your mobile phone number and opting in to receive SMS messages from Solatube, you agree to receive text messages regarding your orders, product updates, and promotional offers.

What You're Consenting To

When you opt in to SMS communications, you agree to receive text messages from Solatube for:

• Order Updates: Order confirmations, shipping notifications, and delivery status
• Product Information: Product launches, features, and technical support
• Promotional Offers: Sales, discounts, and special promotions
• Customer Service: Support inquiries and account-related communications

How to Opt Out

You can opt out of SMS communications at any time by:

• Replying "STOP" to any SMS message from us

• Updating your preferences in your account settings

After opting out, you will no longer receive promotional SMS messages, but you may still receive important order-related communications.

Sales Terms and Conditions

SOLATUBE INTERNATIONAL, INC.
These are the "Terms and Conditions" governing sales by Solatube International, Inc. ("Solatube"), and are incorporated by reference in every order accepted by Solatube (each such order, as accepted by Solatube in its Order Acknowledgement, "a Contract").

The quantity, quality, description of, delivery schedule and price for Solatube products (the "Product(s)") shall be those set out in the Solatube Order Acknowledgement and shall be subject to these Terms and Conditions.

Placing an order for Products constitutes acceptance of these Terms and Conditions. No addition to, waiver of or modification of these Terms and Conditions, nor anything stated on the Buyer's purchase order or its terms and conditions, shall be binding on Solatube unless expressly agreed to in writing by Solatube, which writing states that it supersedes these Terms and Conditions in that regard, and the specific provision so stating has been initialed as "accepted" by Solatube.

1. Payment

a. Domestic: Subject to the credit approval of Solatube, payment terms are net 30 days from the date of shipment with no cash discount, retention or withholding allowed for any reason whatsoever.

b. International: Payment terms are by an irrevocable letter of credit or cash in advance unless other payment arrangements have been established in writing.

c. Credit Cards: Solatube reserves the right to add a 3% fee to all credit card transactions.

d. Overdue Payments: Overdue payments will bear interest at the lesser of 5% per month or the maximum rate permitted by applicable law.

2. Price

Unless otherwise set forth in a writing signed by Solatube, the price to be paid by Buyer will be the higher of (i) that contained on Solatube's price list last published before the date of actual delivery of the goods, or (ii) the prevailing price at the time the goods are delivered.

All prices expressed are F.O.B. factory for domestic sales and either F.O.B. factory or ex works (factory) for international sales.

Price is based on Products shipping to Buyer within 60 days of the Order Acknowledgment unless stated otherwise. Any Product that ships after 60 days is subject to price escalation.

3. Quotations

All quotations are valid for 30 days from date of issue unless otherwise stated in writing, subject to price adjustments as in accordance with Section 2. Quotations do not assure compliance with plans or specifications provided by Buyer, Buyer's agent, or any third party whatsoever.

4. Order; Changes

a. Orders: Orders must be in writing and submitted to Solatube by Buyer. Orders will be accepted only upon issuance of an Order Acknowledgement by Solatube.

b. Cancellations: All Product orders are subject to a cancellation fee based on Solatube's costs once any work on the Product order has begun, including labor, raw materials, transportation, and overhead costs, plus fifteen percent (15%), but not to exceed the purchase price of the cancelled portion of the Contract.

c. Order Acknowledgments: It is the Buyer's responsibility to review Solatube's Order Acknowledgment and to make certain that it is correct in all particulars, then sign and return it within two (2) business days of the issuance date.

5. Shipment and Storage

Time is not of the essence with delivery dates and the reference to a delivery date is an estimate only. Solatube shall not be in breach for failure to meet a delivery date.

Finished goods not shipped by the acknowledged ship date are subject to storage fees equal to 15% of the total purchase price of the order per month, prorated on a per day basis for any partial month.

Solatube reserves the right to requote any order that does not ship within 60 days of the Order Acknowledgement.

6. Delivery and Freight; Risk of Loss

Delivery to the carrier at point of shipment shall constitute delivery to the Buyer and the Buyer shall assume all risk for subsequent loss or damage.

All prices expressed are F.O.B. factory for domestic sales and either F.O.B. factory or ex works (factory) for international sales.

Risk of loss to Product transfers to Buyer upon Solatube's delivery of Product to the carrier at the point of shipment, as does the obligation to insure the Product. Title passes only upon Buyer's payment in full for the Product.

7. Limitation of Actions and Liability

Any cause of action arising out of, or in any way connected with, the Products or services furnished by Solatube must be brought by Buyer within one (1) year from the date of shipment of the Product.

UNDER NO CIRCUMSTANCES WILL SOLATUBE'S LIABILITY EXCEED THE PURCHASE PRICE PAID TO SOLATUBE FOR SUCH PRODUCTS. IN NO EVENT SHALL SOLATUBE BE LIABLE FOR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING OVERHEAD OR LOST PROFITS, COST OF SUBSTITUTE EQUIPMENT, FACILITIES OR SERVICES OR BUSINESS INTERRUPTION.

8. Limited Warranty

Unless otherwise expressly agreed in writing by Solatube or as expressly set forth in Solatube's Order Acknowledgement, the exclusive warranties for Solatube products shall be as set forth in Solatube's standard Limited Warranty documents applicable at the time of shipment.

THIS LIMITED WARRANTY IS GIVEN IN LIEU OF ALL OTHER WARRANTIES OR CONDITIONS, STATUTORY OR OTHERWISE, EXPRESS OR IMPLIED, INCLUDING THE WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

9. Product Claims

Buyer shall inspect and perform any necessary tests of the Products sold hereunder upon delivery and shall have seven (7) days from delivery of the Products to inform Solatube that the Products do not conform to Buyer's specifications or contain material defects; otherwise such Products shall be deemed accepted by Buyer.

10. Returns

No Product returns will be permitted unless first approved in writing by Solatube in its sole discretion and upon such conditions as it may determine.

11. Force Majeure

Solatube is not liable or responsible for delay or failure to perform any of its obligations occasioned by any causes beyond Solatube's reasonable control, including labor disputes or shortages, fires, weather conditions, terrorist acts, earthquakes, floods, declared or undeclared war, epidemics, pandemics, virus, computer malfunctions, civil unrest, riots, lack of or delay in supply of energy or fuel, other supplies or raw materials, delay in transportation, governmental, regulatory or legal action or act of God.

12. Choice of Laws

All orders shall be construed and the rights of the parties interpreted in accordance with the laws of the State of Delaware without regard to the conflicts of law thereof. The parties exclude the application of the U.N. Convention on Contracts for the International Sales of Goods, the International Sale of Goods Act and the Provincial Sale of Goods legislation.

13. Dispute Resolution

Any dispute arising out of or in connection with the Contract shall be referred at first instance to senior representatives of each of the parties who shall endeavor in good faith to resolve the Dispute.

In the event that a Dispute cannot be resolved by such senior representatives within fourteen (14) days, then either party shall be entitled to refer the Dispute to mediation in accordance with the JAMS procedures then in force.

In the event that a Dispute remains unresolved sixty (60) days after the date of service of the Mediation Notice, then the Dispute shall be referred to and finally resolved by arbitration in accordance with the UNCITRAL Rules.

Placing an order constitutes acceptance of these Terms and Conditions even if they are not countersigned by Buyer.
